1. Agreement
By accessing or using ZenithChat ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding agreement between you and ZenithChat.
2. Service Description
ZenithChat is a B2B SaaS platform that provides AI-powered conversational agents for WhatsApp and Instagram. The Service enables businesses to automate customer interactions, process orders, manage appointments, and handle payments through AI-driven conversations.
3. Eligibility
The Service is intended for business use. You must be at least 18 years old and have the legal authority to bind your organization to these Terms.
4. Account Registration
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access.
5. Subscription and Billing
The Service is offered on a subscription basis with tiered plans. Fees are billed monthly or annually as selected. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Usage exceeding plan limits may incur additional charges as described in your plan details.
6. Acceptable Use
You agree not to:
- Use the Service to send spam, unsolicited messages, or bulk messaging
- Violate WhatsApp Business Policy or Instagram Platform Policy
- Use the Service for illegal, fraudulent, or deceptive purposes
- Attempt to reverse-engineer, copy, or create derivative works of the Service
- Impersonate others or misrepresent the nature of AI-generated responses
- Process data of individuals under 16 without appropriate safeguards
7. AI-Generated Content
Responses generated by the AI are provided on your behalf and under your responsibility. You must configure the AI appropriately for your business. ZenithChat does not guarantee the accuracy, completeness, or suitability of AI-generated responses. You are responsible for reviewing and monitoring AI interactions with your customers.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. You are the Data Controller for your end users' data. You must ensure you have appropriate legal basis to process your customers' data through our platform. You must inform your customers that they may be interacting with an AI system.
9. Third-Party Integrations
The Service integrates with third-party platforms including Meta (WhatsApp, Instagram), payment processors, and calendar services. Your use of these integrations is subject to their respective terms. You are responsible for configuring and maintaining your own third-party credentials. ZenithChat is not liable for third-party service interruptions.
10. Payment Processing
ZenithChat facilitates payment processing through third-party providers configured by you. We act as a technology intermediary and do not directly handle end-user payment funds. You are responsible for compliance with payment regulations in your jurisdiction.
11. Intellectual Property
ZenithChat retains all rights to the platform, technology, and proprietary systems. You retain ownership of your business data and content. You grant us a limited license to process your data solely to provide the Service.
12. Limitation of Liability
To the maximum extent permitted by law, ZenithChat shall not be liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. This limitation applies regardless of the legal theory of the claim.
13. Indemnification
You agree to indemnify and hold ZenithChat harmless from claims arising from your use of the Service, your violation of these Terms, your end users' interactions with your AI agents, or your violation of any applicable laws or third-party rights.
14. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime caused by third-party providers (Meta, payment processors, etc.).
15. Termination
Either party may terminate the subscription with 30 days' notice. We may suspend or terminate accounts that violate these Terms. Upon termination, your data will be retained for 30 days, after which it will be permanently deleted.
16. Modifications
We may update these Terms with 30 days' notice via email. Continued use of the Service after changes constitutes acceptance.
17. Governing Law
These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware, unless otherwise required by applicable consumer protection laws.
